These Platforms Subscription terms and conditions (hereinafter referred to as the “Subscription Terms”) form part of the online subscription agreement and contains the terms and conditions that govern access to and use of the Platform(s) by CLIENT (hereinafter referred to as the “Agreement”). along with the:
These Subscription Terms take effect immediately after clicking an “I Accept,” “Sign up” or similar button or check box presented with these terms (the “Effective Date”). By accepting these Subscription Terms, CLIENT agrees to be legally bound by its terms and conditions. The signatory of these Subscription Terms represents to have legal authority to bind CLIENT.
When having a first capital letter, the terms used in these Subscription Terms will have the same meaning as those defined in the General Terms of the Agreement.
1.1 Access to and registration for the Platforms are strictly limited to professionals operating within the pharmaceutical and life sciences sector.
1.2 All registration requests are subject to a manual account review and validation process conducted by HEXAGONE. HEXAGONE reserves the right, at its sole discretion, to approve or reject any registration request, without obligation to provide justification. Submission of a registration request constitutes an automatic subscription request to Trial Authorization to use the Platforms, subject to successful account validation by HEXAGONE.
1.3 HEXAGONE shall use reasonable efforts to approve or reject a complete registration request within 2 business days of submission.
1.4 HEXAGONE reserves the right, at any time, to expand eligibility for the HEXAGONE to additional categories of users, including agencies, through a dedicated access or registration channel, subject to specific terms and conditions that may be defined from time to time.
1.5 No contractual relationship shall be deemed formed until such validation has been expressly granted.
2.1 CLIENT may purchase Subscriptions by clickingon “purchase”, or any similar button.
3.1 The Trial Authorization is granted solely for internal, non-commercial use, by and through Authorized Users, for trial purposes.
3.2. The Authorization is limited, nonexclusive, nontransferable and without charge.
3.3. The Authorization shall commence on the Effective Date, for a an unlimited period.
3.4. At any time, HEXAGONE may withdraw the Trial Authorization without notice by shutting down the access to the Platforms, without prejudice for CLIENT.
4.1 These Subscription Terms commence on the Effective Date and will remain in force until the term of the Agreement.
